1. Introduction

Please read these Terms of Service ("Terms") carefully before using AdHub. These Terms govern your access to and use of the AdHub advertising platform ("AdHub" or "the Platform"). By registering an account on AdHub.plus or using the Platform's advertising services, you (the Advertiser or "you") agree to be bound by these Terms. If you do not agree to any part of these Terms, you must not use AdHub.

Advertiser-Only Scope: These Terms apply only to advertisers using AdHub to create and distribute ads via Telegram bots. They do not govern any separate relationship with bot owners, end users, or other parties. (AdHub may provide separate terms or agreements for those roles, which are outside the scope of this document.)

Separate Policies: These Terms do not address privacy or data usage. AdHub's Privacy Policy and Cookie Policy (which are provided separately) govern how we collect and use data. This Terms of Service document focuses solely on your use of the advertising Platform.

2. Account Registration and Eligibility

To use AdHub as an advertiser, you must create an account on the Platform. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

Eligibility: By registering, you represent that you are at least the age of majority in your jurisdiction (e.g. 18 years or older) and are legally capable of entering into binding contracts. If you are registering or using the Platform on behalf of a company or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and in that case "you" refers to that entity.

You may not share your account or transfer it to anyone else without our permission. You agree to immediately notify AdHub of any unauthorized use of your account or security breach. AdHub will not be liable for any loss or damage arising from your failure to safeguard your account.

3. Advertising Services on Telegram

AdHub provides an online advertising platform that enables you to create and manage advertising campaigns delivered via third-party Telegram bots and channels. Through AdHub, you can design your ad content, select targeting options, set budgets, and deploy promotional messages to Telegram users. The Platform acts as an intermediary, facilitating the placement of your sponsored messages into participating Telegram bots or channels that serve those ads to end users.

Best-Effort, Probabilistic Delivery: AdHub delivers ads on a best-effort basis using a probabilistic distribution system. This means that while the Platform will attempt to deliver your advertisements to the selected audience, the actual delivery of any given ad to any particular user is not guaranteed. Ad delivery may depend on factors such as available inventory (bot advertising space), bidding outcomes, user engagement, and technical limitations.

Third-Party Dependence: You acknowledge that AdHub does not own or control Telegram or the individual third-party bots/channels where ads are displayed. The performance of the advertising service relies on the proper functioning of third-party systems (including the Telegram network and bot infrastructure). AdHub is not responsible for any failure or limitation in ad delivery caused by issues on Telegram's side or the actions of bot owners beyond our control.

4. Prepaid Balance and Payments

AdHub operates on a prepaid credit system for purchasing advertising. Before launching a campaign, you must top up your AdHub account balance with funds. All advertising fees are deducted from this account balance.

Prepaid Funds: Funds you add to your AdHub account balance (your Balance) are prepaid and will be used to pay for advertising services. You understand and agree that all funds deposited into your Balance are non-refundable. Adding funds to your Balance is a purchase of advertising credit on the Platform, not a deposit or escrow. Your Balance does not represent a personal financial account, and it will not earn interest.

Usage of Funds: Each time an ad message is delivered (or an impression is served) to a user via the Platform, a corresponding fee will be deducted from your Balance. The rate of deduction (such as a cost per message or cost per thousand impressions, CPM) is determined by the Platform's pricing and auction model, which may vary over time or by campaign. You are responsible for ensuring your Balance is sufficient to cover the costs of your campaigns. If your Balance is depleted, your ads may stop running until you add additional funds.

No Cash Value & No Refunds: Funds in your Balance have no cash value outside of AdHub and cannot be withdrawn or refunded to you (except as may be required by applicable law). No refunds will be provided for any unused Balance, including if a campaign under-delivers or if you decide to stop using the service. This non-refund policy applies to all circumstances (unless AdHub, in its sole discretion, chooses to issue a refund as an exception).

Balance Use and Forfeiture: Your prepaid funds will remain available in your account for future campaigns as long as your account is active and in good standing. If you have remaining Balance after one campaign, you can use it for future advertising on AdHub. However, if your account is suspended or terminated by AdHub for a violation of these Terms or other applicable policies, any remaining Balance may be forfeited. Unused Balance may also be forfeited if AdHub ceases to operate the Platform entirely, unless otherwise required by law or expressly provided by AdHub.

5. Ad Delivery and Performance; No Guarantees

AdHub will make commercially reasonable efforts to deliver your ads to the audience and parameters you specify. However, AdHub makes no guarantee regarding the results or performance of any advertising campaign. You acknowledge and agree to the following:

Delivery Definition: An ad is considered "delivered" once AdHub's systems have successfully dispatched the message to the Telegram network or to the relevant third-party bot/channel for distribution. At that moment of technical dispatch, the message is counted as delivered for the purposes of AdHub's metrics and billing, regardless of whether an end-user actually views or reads the ad. Delivery to the end-user's device or actual engagement by the user is beyond AdHub's control.

No Guaranteed Reach or Impressions: AdHub does not guarantee any specific reach or number of impressions. The actual number of users who receive or see your ad may vary and could be less than estimated. Factors like user behavior (e.g., users leaving a bot or channel), bot availability, or Telegram algorithms can affect how many people see your ad.

No Guaranteed Performance Metrics: All performance metrics (including reach, impressions, click-through rates, conversions, or any return on investment) are provided on a best-effort and probabilistic basis. AdHub makes no promise of achieving any particular outcome from your campaign. For example, we do not guarantee any minimum number of clicks, conversions, or sales resulting from your ads.

Variable Costs (CPM): Any cost-per-mille (CPM), cost-per-click (CPC), or similar pricing metrics provided by AdHub are estimates and not guaranteed. The effective price for delivering your ads may fluctuate based on our auction model and available inventory. You may end up paying more or less per impression than initially quoted, and you accept these variations as part of the service.

Timing Not Guaranteed: AdHub does not guarantee that your ads will be delivered at any specific time or speed. While we strive to distribute ads in a timely manner, actual delivery times depend on third-party systems and network conditions. There may be delays or scheduling variations (for example, due to Telegram network issues or time-zone differences) for which AdHub is not responsible.

In summary, the AdHub service is provided on a best-effort basis. You understand that advertising outcomes are inherently uncertain, and you accept the risk that a campaign may not meet your expectations in terms of reach, engagement, or financial return. AdHub will not be liable for any shortfall in performance or results.

6. Advertiser Content and Conduct Requirements

When using AdHub, you are fully responsible for the content of your advertisements and the manner in which you conduct your campaigns. You agree that all ads and associated materials you submit or distribute via the Platform will comply with the following requirements:

6.1 Prohibited Content

You must not use the Platform to create, transmit, or distribute any advertisement content that falls into any of the following categories:

Pornography or Adult Content: No ads may contain or promote pornography, sexually explicit material, or adult services. Nudity, sexual imagery, or any content that is inappropriate for general audiences is strictly disallowed.

Illegal Drugs and Substances: Advertisements may not promote the sale, use, or distribution of illegal drugs, controlled substances, or any related paraphernalia. This includes content encouraging the misuse of legal drugs or any substances banned by applicable law.

Gambling and Betting: Content that promotes gambling, betting, lotteries, or online casinos is prohibited, especially in jurisdictions where such activities are illegal or regulated. (Legitimate state lotteries or licensed gambling services may be allowed only with AdHub's prior approval and if clearly legal in target regions.)

False or Misleading Medical Claims: Ads cannot make fraudulent, unsubstantiated, or exaggerated health and medical claims. This includes promotions of "miracle" cures, weight loss products with unrealistic results, unapproved supplements, or any medical product or service that is not properly certified. Health-related advertisements must not misinform users or encourage unsafe practices.

Illicit Products or Illegal Activities: You may not advertise products or services that are illegal in any applicable jurisdiction. This includes, for example, counterfeit goods, illicit streaming services, hacking tools, pirated software, or any product/service that would violate the law.

Hate Speech and Harassment: Ad content must not include hate speech, harassment, or advocacy of violence against any individual or group. Content that is defamatory, libelous, or promotes bigotry, discrimination, or violence based on race, ethnicity, religion, gender, sexual orientation, or other protected characteristics is strictly forbidden.

Violence and Extremism: Ads may not glorify violence, promote violent organizations, or include graphic depictions of violence. Content that supports terrorism, extremist ideologies, or criminal activities is banned.

Malware or Malicious Content: Any advertisement that contains viruses, malware, spyware, phishing scams, or any other harmful code or deceptive practices (such as fake giveaways or clickjacking) is prohibited.

Other Inappropriate Content: AdHub reserves the right to prohibit any other content that it deems, in its sole discretion, to be offensive, inappropriate, or harmful. This may include content that is excessively politicized, controversial, or otherwise inconsistent with AdHub's standards, even if not explicitly listed above.

6.2 Prohibited Activities

In addition to content restrictions, you agree not to engage in any conduct that could harm the Platform or circumvent its intended use. You must not:

Use the AdHub platform for any fraudulent or unlawful purpose, or in violation of any applicable laws or regulations.

Attempt to interfere with or disrupt the operation of AdHub or its networks, for example by introducing viruses or employing any malicious techniques.

Circumvent, disable, or otherwise interfere with any security features or access controls of the Platform. This includes not attempting to access accounts or data that do not belong to you, and not using any automated means (such as bots or scrapers) to gather information from the Platform without authorization.

Misrepresent your identity or your affiliations in your use of the Platform. You must not impersonate any person or organization or falsely imply any partnership or endorsement by AdHub.

Engage in any activity that could reasonably be deemed to damage AdHub's reputation or that of the third-party platforms (like Telegram) that support the advertising service.

You are responsible for ensuring that your advertising content and conduct comply with all applicable laws and regulations in the target regions of your campaigns. You represent and warrant that you have all necessary rights and permissions to use the content you promote (including intellectual property rights), and that your ads do not violate any law or infringe any third-party rights.

AdHub reserves the right to reject, remove, or require modifications to any advertisement or campaign that, in AdHub’s sole judgment, violates these content and conduct rules or is otherwise objectionable. Compliance with the above standards is determined at AdHub's discretion, and AdHub's decision to disallow any content or activity is final.

7. Content Review and Moderation

All ads and campaigns submitted to AdHub are subject to review and moderation by the Platform. By default, AdHub employs manual review of advertising content to ensure compliance with these Terms and content standards. This means that in many cases, a human reviewer will check your ad (including text, images, links, and targeting) for compliance before or shortly after it is launched.

AdHub's Moderation Rights: AdHub reserves the right to utilize various moderation practices at its discretion, which may include:

Pre-Moderation: Requiring that certain ads or campaigns be approved by AdHub staff before they are delivered. AdHub may hold your ad in a pending state until a review is completed.

Automated Filters: Deploying automated tools or filters to screen ad content (for example, detecting prohibited keywords or malicious links). These tools might block or flag content without manual intervention.

Post-Moderation: Reviewing content after it has been published or delivered. AdHub may remove or suspend ads that have already run if they are later found to violate the Terms or if complaints are received.

AdHub can change its moderation process at any time. For example, we may shift from manual review to automated pre-screening, or vice versa, without notice. Submission of your content to the Platform does not guarantee that it will be approved. If your ad is disapproved or removed, AdHub is not obligated to provide a detailed explanation, though we may optionally give feedback.

No Waiver of Rights: Even if AdHub’s moderators approve an ad, that approval does not waive AdHub’s right to later remove the ad or take action if it is discovered to violate our policies or for any other reason. AdHub also reserves the right to make immediate decisions (such as pausing a campaign or banning content) in urgent cases without prior notice to you.

8. Changes to the Platform and Services

AdHub is an evolving service, and you understand that the Platform's features and policies may change over time. AdHub reserves the right to modify, update, or discontinue any aspect of the advertising Platform at any time, without prior notice or liability. This includes, but is not limited to, changes in the following:

Auction and Delivery Algorithms: AdHub may change how ads are allocated or delivered, such as altering the auction model or selection algorithm that determines which ads are shown in which bots or channels.

Pricing and Rate Structure: The way AdHub charges for ads (including CPM rates, bidding increments, or any credits-per-impression model) may be adjusted. We may introduce new fees or change existing fee structures for using the service.

Inventory and Access: AdHub may change the inventory of Telegram bots or channels available for advertising. We might add, remove, or modify access to certain audiences or placements. We do not guarantee the continued availability of any particular channel, bot, or audience segment.

Features and Functionality: Any feature of the Platform (for example, targeting options, reporting tools, campaign optimization features) may be improved, modified, or removed. We may also roll out beta features that can be changed or discontinued at our discretion.

Any such changes may be made without your consent, and they may affect the performance of your existing campaigns. AdHub will endeavor to inform users of major changes (for instance, through updates on our website or dashboard), but we are not obligated to do so. It is your responsibility to review any notices or updates AdHub provides. By continuing to use the Platform after changes are implemented, you are deemed to accept those changes. If you do not agree with a change, your sole remedy is to stop using AdHub.

9. Suspension and Termination

AdHub may suspend or terminate your account, your access to the Platform, or any of your advertising campaigns at any time, for any reason, and without prior notice. This section explains some circumstances and consequences of termination:

Termination by AdHub: We reserve the right to immediately suspend or terminate your use of AdHub if you violate these Terms, any applicable law, or any other policies or guidelines issued by AdHub. Additionally, AdHub may terminate the service or your account for any other reason at our sole discretion (even without cause). We are not required to provide advance warning or explanation, though we may do so in some cases.

Effects of Termination: If your account is terminated or suspended, you may lose access to the Platform, including any campaign data or account information stored on AdHub. In the event of termination for cause (e.g., due to your violation of these Terms), you will not be entitled to any compensation or refund for unused Balance or any ongoing campaigns. Any remaining prepaid funds in your account may be forfeited, as noted in Section 4.

Your Termination: You may choose to stop using AdHub at any time. You can request account closure through our support channels. However, no refunds will be given for any remaining Balance if you decide to cease using the service. If you later wish to resume use, you may be required to create a new account at AdHub’s discretion.

Post-Termination Obligations: Termination of your account does not absolve you of any obligations incurred prior to termination. For example, you are still responsible for paying any outstanding amounts owed to AdHub, and Sections of these Terms that by their nature should survive termination (such as indemnification, liability limitations, and dispute resolution provisions) will continue to apply.

AdHub shall not be liable to you or any third party for any modification, suspension, or termination of the Platform or your access to it. If your account is terminated and you believe this was in error, you may contact AdHub support to request reconsideration, but AdHub is under no obligation to reverse a termination decision.

10. Dispute Resolution

All disputes, claims, or concerns relating to your use of AdHub or these Terms shall be addressed by contacting AdHub's support team. You agree to first attempt to resolve any issues or disagreements informally by working with our customer support. AdHub will make a good-faith effort to address and resolve complaints internally.

By using AdHub, you acknowledge and agree that no formal dispute resolution process (such as arbitration or court litigation) is provided for or required by these Terms. In other words, AdHub does not agree to any mandatory arbitration or mediation for disputes, and you waive any requirement to pursue such processes. Any dispute or claim that cannot be resolved informally with AdHub's support must be dealt with individually, without resort to any form of class action or collective legal proceeding.

If you cannot resolve a dispute through our support team, you may pursue legal remedies on an individual basis as permitted by applicable law. However, by agreeing to these Terms, you understand and accept that no class or collective actions or other representative proceedings may be pursued against AdHub. Your sole remedy for any dissatisfaction with the service is to discontinue use of AdHub.

Note: This section does not limit any rights you may have under mandatory laws, but it sets forth the agreed approach to handling disputes between you and AdHub under this contract.

11. Disclaimers of Warranties

AdHub provides the Platform and all services on an "as is" and "as available" basis. To the fullest extent permitted by law, AdHub disclaims all warranties, express or implied, in connection with the Platform and your use of it. This includes, without limitation:

No Warranty of Results: AdHub does not guarantee any results from advertising on the Platform. We make no warranty that your ads will reach a certain audience, achieve a certain number of impressions, clicks, or conversions, or that you will obtain any particular return on investment.

No Implied Warranties: All implied warranties or conditions of merchantability, fitness for a particular purpose, and non-infringement are expressly disclaimed. You assume all risk for any use of the Platform and any decisions made based on data or results from the Platform.

Service Quality and Uptime: AdHub does not warrant that the Platform will be uninterrupted, timely, secure, or error-free. While we strive to maintain a reliable service, we make no guarantees that campaigns will run without delays or technical issues. Maintenance, updates, or outages of AdHub or related third-party systems (like Telegram) may occur.

Third-Party Services: AdHub makes no warranty regarding any third-party services that integrate with or support the Platform. This includes Telegram and any bot or channel on which your ads appear. We are not responsible for the availability, quality, or reliability of Telegram's network or any third-party platform, and interruptions or changes in those services may impact your ads.

You understand that digital advertising inherently involves uncertainty and risk. Any data, analytics, or guidance provided by AdHub (such as reach estimates or performance suggestions) are offered without any warranty as to accuracy or completeness. You use the Platform at your own risk, and you are solely responsible for evaluating the suitability of the service for your needs.

12. Limitation of Liability

To the maximum extent permitted by law, AdHub’s liability to you is limited. Under no circumstances will AdHub (or its owners, officers, employees, or affiliates) be liable for:

Indirect or Consequential Damages: Any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, business opportunity, goodwill, or data, arising out of or related to your use of the Platform or these Terms. This limitation applies even if AdHub has been advised of the possibility of such damages, and regardless of the legal or equitable theory on which a claim is based.

Total Liability Cap: In any event, AdHub's total cumulative liability to you for all claims arising from or related to the service (including for any implied warranties that may not be disclaimed) shall not exceed the total amount of fees you have paid to AdHub in the twelve (12) months immediately prior to the event giving rise to the liability. If you have paid no fees, AdHub's maximum liability will be zero (or the minimum amount permitted by law, if greater).

Some jurisdictions do not allow the exclusion or limitation of certain damages or liabilities. In such jurisdictions, the liability of AdHub will be limited to the fullest extent permitted by law. The limitations set forth in this section are fundamental elements of the basis of the agreement between you and AdHub.

13. Indemnification

You agree to indemnify and hold harmless AdHub, its affiliates, and their respective directors, officers, employees, and agents, from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) that arise out of or relate to any third-party claims resulting from:

The content of any advertisements or materials you provide or distribute through the Platform;

Your use of the AdHub Platform or services;

Your breach or alleged breach of these Terms; or

Your violation of any applicable law or regulation, or of any rights of another person or entity (including intellectual property, privacy, or publicity rights).

AdHub reserves the right, at your expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such cases, you agree to cooperate with AdHub's defense of that claim. You agree not to settle any such matter without the prior written consent of AdHub. These indemnification obligations will survive any termination of your relationship with AdHub or the cessation of your use of the Platform.

14. Modifications to Terms

AdHub may modify or update these Terms of Service from time to time. When we make changes, we will update the "Last updated" date at the top of this document. In some cases, we may provide additional notice to you of significant changes, such as via email or a notification on your account dashboard. It is your responsibility to review these Terms periodically to stay informed of any updates.

By continuing to use the Platform after any modifications to the Terms become effective, you agree to be bound by the revised Terms. If you do not agree to the updated Terms, you must stop using AdHub and, if applicable, close your account. No amendment or modification of these Terms will be binding unless posted by AdHub as described above.

15. Miscellaneous

Entire Agreement: These Terms (along with any referenced documents like our Privacy Policy) constitute the entire agreement between you and AdHub regarding your use of the advertising Platform. They supersede any prior agreements or communications (whether oral or written) between you and AdHub relating to the subject matter.

Severability: If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the remaining provisions of the Terms will remain in full force and effect. The parties agree to replace any invalid or unenforceable provision with a valid provision that most closely approximates the intent and economic effect of the original.

No Waiver: AdHub's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of AdHub.

Assignment: You may not assign or transfer any rights or obligations under these Terms without AdHub's prior written consent. Any attempt by you to assign the Terms without permission will be null and void. AdHub may freely assign or transfer these Terms (in whole or in part) as part of a merger, acquisition, sale of business, or any other change of control, or by operation of law or otherwise.

No Third-Party Beneficiaries: These Terms are for the benefit of you and AdHub only. Except as explicitly provided herein, they are not intended to confer any rights or remedies on any third party, including any users who receive your ads or any bot owners hosting ads.

Relationship of Parties: Nothing in these Terms shall be construed as creating any agency, partnership, joint venture, or other form of joint enterprise between you and AdHub. You and AdHub are independent contractors, and neither party has the authority to bind the other or act on the other's behalf.

Force Majeure: AdHub will not be liable for any delay or failure to perform its obligations under these Terms if such delay or failure arises from any cause or causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor conditions, power failures, internet or telecommunication outages, or other events of force majeure.

Notices: Except as otherwise specified, any notices under these Terms should be sent to AdHub via the Platform’s support channel or via email to our support address. AdHub may send you notices via the email address associated with your account or through on-platform notifications.
